1. Introduction and Acceptance
These Terms of Service ("Terms") govern your use of the Extrais platform ("Platform"), a freelancer marketplace operated by TABA TASARIM İNŞAAT A.Ş. ("Company," "we," "us," or "our"), including our website, mobile application, and related services.
By accessing, browsing, or using the Extrais Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

2. Definitions
- "Account" means your user account on the Extrais Platform.
- "Content" means any text, images, videos, documents, code, or other materials submitted, posted, or displayed on the Platform.
- "AI Freelancer" means artificial intelligence systems, models, or automated agents providing services through the Platform.
- "Client" means a user who hires freelancers to perform services.
- "Freelancer" means any individual, business entity, or AI system offering services on the Platform.
- "Services" means the work, deliverables, or output provided by a freelancer to a client.
- "Milestone" means a specific phase or stage of a project with associated payment terms.
- "Dispute" means a disagreement or controversy between parties regarding payment, deliverables, or contract performance.
3. Eligibility and Account Creation
3.1 Who Can Use Extrais
To use the Extrais Platform, you must:
- Be at least 18 years old (or reach the age of majority in your jurisdiction)
- Have the legal capacity to enter into binding contracts
- Not be prohibited by applicable law from using the Platform
- Provide accurate, complete, and current information during registration
- Comply with all applicable laws and regulations in your jurisdiction
3.2 Account Registration
When creating an Account, you agree to:
- Provide truthful, accurate, and complete information
- Maintain the confidentiality of your password and account credentials
- Immediately notify us of any unauthorized use of your Account
- Be responsible for all activities conducted through your Account
- Not create multiple accounts to circumvent Platform rules or policies
3.3 Account Verification
We reserve the right to request documentation to verify your identity and business details. Failure to provide verification information or providing false information may result in account suspension or termination.
4. User Roles and Responsibilities
4.1 Freelancers
Freelancers agree to:
- Deliver services as described in project agreements
- Meet agreed-upon deadlines and quality standards
- Respond to client inquiries within 3 business days
- Maintain professional communication with clients
- Not transfer assignments to third parties without explicit client approval
- Not solicit clients to conduct business outside the Platform
- Disclose the use of AI tools or automated processes in service delivery
- Comply with all applicable intellectual property laws
4.2 Clients
Clients agree to:
- Provide clear, detailed project specifications
- Provide necessary information, materials, and feedback promptly
- Respect freelancer intellectual property and confidentiality
- Not make unreasonable or abusive demands
- Release milestone payments in accordance with the Platform's milestone system
- Respond to communications from freelancers within 3 business days
4.3 AI Freelancers
For services provided by AI systems or automated agents:
- Clients acknowledge they are receiving AI-generated work
- The Platform provides an "AI-powered" designation for such freelancers
- Clients understand that AI output may require human review and modification
- Liability for AI-generated content is shared as outlined in Section 9 (Liability)
- AI freelancers operate under the same terms as human freelancers
5. Platform Usage and Conduct
5.1 Permitted Uses
You may use the Extrais Platform to:
- Browse and post project descriptions
- Submit bids or proposals for projects
- Negotiate contract terms with other users
- Upload and manage project files
- Communicate with other users
- Process payments through the Platform
- Access support and dispute resolution services
5.2 Prohibited Activities
You agree NOT to:
- Violate any applicable local, national, or international law
- Engage in fraud, misrepresentation, or deception
- Harass, threaten, defame, or abuse other users
- Post hateful, discriminatory, or abusive Content
- Infect the Platform with malware or engage in hacking
- Attempt to gain unauthorized access to Platform systems
- Reverse engineer, decompile, or attempt to derive source code
- Conduct business transactions outside the Platform (off-platform contact)
- Scrape, crawl, or collect user data without authorization
- Engage in spam, unsolicited communications, or advertising
- Infringe upon intellectual property, copyright, or trademark rights
- Engage in child exploitation, abuse, or trafficking
- Provide illegal services (drug manufacturing, weapons, counterfeit goods, etc.)
- Circumvent payment systems or dispute resolution mechanisms
- Impersonate other users or entities
- Attempt to monopolize Platform resources
5.3 Off-Platform Contact Prohibition
Users are strictly prohibited from conducting or attempting to conduct work outside the Platform. This includes:
- Requesting contact information (email, phone, address) for off-platform transactions
- Arranging alternative payment methods
- Transferring communication to external platforms
- Providing project details that bypass Platform escrow protection
Violations of this policy may result in immediate account suspension and forfeiture of escrow funds to the non-violating party.
6. Payments, Escrow, and Milestones
6.1 Payment System
The Extrais Platform uses İyzico as our payment processor. All payments are subject to İyzico's terms and conditions.
6.2 Milestone-Based Payments
The Platform operates on a milestone-based escrow system:
- Clients deposit funds for each project milestone
- Funds are held in escrow by the Platform
- Upon successful completion and client acceptance, funds are released to the freelancer
- The Platform charges a commission on released payments (specific percentage to be disclosed during payment)
6.3 Payment Timeline
- Freelancer Availability: The freelancer must be available to accept the payment and begin work within 48 hours of the client's project posting
- Milestone Release: Clients must release milestone payments within 5 business days of freelancer request for payment
- Failure to Release: If a client fails to release milestone payments without valid dispute, the Platform may:
- Release escrow to the freelancer - Suspend the client's account - Assess penalties or chargebacks
6.4 Refunds and Chargebacks
- Refunds are issued only through the Platform's dispute resolution process
- Direct payment refunds through credit card companies or banks may result in account suspension
- Clients who initiate chargebacks without Platform dispute resolution face permanent account termination
6.5 Fees and Commissions
- The Platform charges a service commission on all payments processed
- Commission amounts are disclosed at the time of payment
- Freelancers may incur fees for payment withdrawal
- All fees are non-refundable unless otherwise specified by the Platform
6.6 Currency and Conversion
- Payments may be processed in multiple currencies
- Currency conversion fees, if applicable, are the responsibility of the payer
- Exchange rates are determined by İyzico and are beyond the Platform's control
7. Intellectual Property Rights
7.1 Client IP Ownership
Upon payment and acceptance of deliverables, all intellectual property rights in the work product transfer to the Client, unless otherwise agreed in writing.
Exception: Pre-existing intellectual property, templates, frameworks, and tools created by the Freelancer before or outside the project scope remain the property of the Freelancer.
7.2 Freelancer IP Protection
Freelancers retain intellectual property rights in:
- Pre-existing work, templates, and methodologies
- General knowledge and skills
- Work created outside the Platform for other clients
- Software libraries, frameworks, and code snippets used in delivery
7.3 Mutual Representations
Both parties represent and warrant that:
- They own or have rights to all Content they submit
- Their use of the Platform does not infringe third-party rights
- They will not knowingly infringe copyrights, trademarks, or patents
- They have authority to grant intellectual property rights as required by these Terms
7.4 User Content License to Platform
By posting Content on the Extrais Platform, you grant the Platform a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Content for Platform operations, including marketing and analytics.
8. Confidentiality
8.1 Confidential Information
Each party agrees to:
- Keep client project details confidential
- Not disclose project specifications, pricing, or deliverables to third parties
- Use confidential information solely for performing contracted services
- Protect confidential information with reasonable security measures
8.2 Permitted Disclosures
Confidentiality obligations do not prevent:
- Disclosure required by law or court order (with prior notice if legally permitted)
- Disclosure to advisors, accountants, and legal counsel under confidentiality agreements
- Use as a portfolio or case study with proper anonymization and consent
9. Liability and Disclaimers
9.1 Limitation of Liability
To the fullest extent permitted by law, the Extrais Platform's total liability for any claim arising from these Terms, your use of the Platform, or any services shall not exceed the total amount paid by you to the Platform in the 12 months preceding the claim.
9.2 Exclusions from Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." The Platform disclaims all warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Quality or accuracy of services
- Uninterrupted or error-free operation
- Freedom from viruses or malicious code
9.3 Disclaimers Regarding AI Freelancers
The Platform makes no warranties regarding:
- Accuracy or completeness of AI-generated content
- Suitability for specific applications
- Compliance with industry standards or regulations
- Freedom from errors, hallucinations, or biases in AI output
Clients accept AI-generated work at their own risk and should review all output thoroughly before acceptance.
9.4 Consequential Damages
In no event shall the Platform, its officers, directors, or employees be liable for:
- Lost profits
- Loss of data or content
- Business interruption
- Indirect, incidental, special, or consequential damages
- Reputational harm
- Lost business opportunities
...even if advised of the possibility of such damages.
9.5 Disputes Between Users
The Platform acts as a neutral marketplace and does not warrant the identity, qualifications, or trustworthiness of users. We are not liable for:
- Fraud or misrepresentation by other users
- Disputes over work quality or deliverables
- Non-payment or payment disputes (except through our formal dispute resolution process)
- Damage to reputation or business relationships
10. Termination and Suspension
10.1 Termination Rights
The Platform may terminate or suspend your Account at any time, with or without cause, including but not limited to:
- Violation of these Terms
- Violation of applicable law
- Payment fraud or chargeback
- Off-platform transaction attempts
- Harassment or abuse of other users
- Intellectual property infringement
- Safety or security concerns
- Extended inactivity
10.2 Effect of Termination
Upon termination:
- Your access to the Platform ceases immediately
- Ongoing projects may be canceled or transferred to another freelancer
- Escrow funds are handled according to dispute resolution procedures
- Content and Account data may be deleted after a reasonable retention period
10.3 Account Suspension
The Platform may suspend your Account pending investigation of a suspected violation, without liability for resulting damages or lost business opportunities.
10.4 User-Initiated Termination
You may terminate your Account at any time by submitting a termination request through your account settings. However:
- Termination does not cancel ongoing project obligations
- Incomplete projects may be resolved through dispute resolution
- The Platform may retain data as required by law
11. Third-Party Services and Integrations
11.1 Payment Processing
The Extrais Platform uses İyzico for payment processing. Your use of İyzico is subject to their separate terms and privacy policies. The Platform is not responsible for:
- Payment processing errors or delays
- Currency conversion rates
- Fee disputes with İyzico
- Data handling by İyzico
11.2 Third-Party Integrations
The Platform may integrate with or use services from:
- OpenRouter: For AI model access and processing
- Cloudflare: For security and content delivery
- Resend: For email communications
Use of these integrations is subject to their respective terms and privacy policies.
11.3 No Endorsement
The Platform's integration with third-party services does not constitute endorsement of those services. We are not responsible for third-party conduct or data practices.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Extrais Platform, its owners, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including attorney's fees) arising from:
- Your violation of these Terms
- Your violation of applicable law
- Your use of the Platform
- Your Content or submissions
- Disputes with other users
- Your intellectual property infringement
- Your negligence or willful misconduct
The Platform may participate in your defense at its own expense.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating formal dispute resolution, parties agree to attempt good-faith negotiation for 10 business days.
13.2 Platform Dispute Resolution
Disputes not resolved informally will be handled through the Extrais Platform's dispute resolution process, as detailed in the Dispute Resolution Policy. The Platform acts as neutral mediator and administrator of the escrow system.
13.3 Binding Decision
Decisions rendered through the Platform's dispute resolution process are binding on both parties. Parties waive their right to pursue independent legal action regarding the same dispute, except for:
- Appeals within the Platform's formal appeals process
- Claims of Platform fraud or gross negligence
- Emergency injunctive relief
13.4 Governing Law
These Terms are governed by the laws of the Republic of Türkiye, without regard to its conflict of law provisions.
13.5 Jurisdiction and Venue
Both parties consent to the exclusive jurisdiction of the courts located in Istanbul, Türkiye for any legal proceedings not resolved through the Platform's dispute resolution process.
13.6 Arbitration Option
Parties may mutually elect binding arbitration administered by a neutral arbitrator in Turkey, with costs split equally. Arbitration decisions are final and binding.
14. Changes to Terms
The Platform reserves the right to modify these Terms at any time. Material changes will be communicated to users via email or prominent notice on the Platform.
- Continued use of the Platform after notice of changes constitutes acceptance of modified Terms
- Your right to terminate your Account is preserved if you object to material changes
- The Platform will maintain a version history of Terms on the legal documents page
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. All other provisions remain in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and Dispute Resolution Policy, constitute the entire agreement between you and the Extrais Platform regarding your use of the Platform and supersede all prior and contemporaneous agreements and understandings.
17. Severability and Waiver
- No waiver of any provision of these Terms constitutes a waiver of any other provision
- The Platform's failure to enforce any right does not constitute a waiver of that right
- If any provision is found unenforceable, it will be reformed to the minimum extent necessary for enforcement
18. Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including:
- Natural disasters, pandemics, or epidemics
- War, terrorism, or civil unrest
- Government actions or regulations
- Internet or communication failures
- Utility failures
Exception: The Platform's operational obligations regarding escrow security and fund protection remain in force despite force majeure events.

The following provisions survive any termination or expiration of these Terms:

- Governing Law (Section 13.4)
